Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the UnitSheet websites, applications, and related services at https://unitsheet.com (collectively, the “Services”) operated by UnitSheet (“UnitSheet,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility and Accounts
You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Services. If you create an account, you agree to provide accurate information, keep your credentials confidential, and notify us promptly of any unauthorized use. You are responsible for all activity under your account.
2. The Services
UnitSheet provides tools for creating and working with unit-aware spreadsheets and related features. The Services are under active development and may change, be interrupted, or be discontinued at any time. Features may be incomplete, experimental, or unavailable.
We may update, suspend, or terminate the Services (or your access to them) for any reason, including maintenance, security, abuse prevention, or legal compliance.
3. Acceptable Use
You may use the Services only for lawful purposes and in accordance with these Terms. You must not:
- Violate any applicable law or regulation
- Infringe the intellectual property or other rights of UnitSheet or any third party
- Attempt to gain unauthorized access to the Services, accounts, systems, or networks
- Interfere with, disrupt, damage, disable, or overburden the Services
- Probe, scan, or test the vulnerability of the Services without our prior written consent
- Transmit malware, spam, phishing content, or other harmful or deceptive material
- Harass, abuse, threaten, or harm others, or use the Services in a way that could be harmful to minors
- Resell, sublicense, or provide the Services to third parties except as expressly permitted
- Reverse engineer, decompile, or attempt to extract source code from the Services except where permitted by law
4. Your Content
You retain ownership of content you create or upload to the Services (“Your Content”), including workbooks and related data. You grant UnitSheet a limited, worldwide, non-exclusive license to host, store, process, transmit, and display Your Content solely as needed to provide and improve the Services and as otherwise directed by you.
You represent that you have all rights necessary to submit Your Content and that Your Content does not violate these Terms or applicable law. You are solely responsible for Your Content and for any decisions or actions you take based on it.
We may remove or restrict access to content that we reasonably believe violates these Terms or the law.
5. Intellectual Property
The Services, including software, design, text, graphics, logos, and trademarks, are owned by UnitSheet or its licensors and are protected by intellectual property laws. Except for the limited right to use the Services as permitted by these Terms, no rights are granted to you.
6. No Warranty; Accuracy and Suitability
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITSHEET DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, UNITSHEET DOES NOT WARRANT THAT:
- The Services, calculations, conversions, formulas, unit handling, or other outputs will be accurate, complete, reliable, current, or error-free
- The Services will meet your requirements or be suitable for any particular purpose, including scientific, engineering, educational, research, commercial, safety-critical, or regulatory use
- The Services will be uninterrupted, secure, or free of defects, viruses, or other harmful components
- Defects will be corrected
UnitSheet is a general-purpose computational tool. Results may contain errors, omissions, or unexpected behavior. You are solely responsible for verifying all results, reviewing inputs and assumptions, and determining whether the Services are appropriate for your use. Do not rely on the Services as a substitute for professional judgment, independent verification, or compliance with applicable standards or regulations.
Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the above exclusions apply to the fullest extent permitted by law.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITSHEET AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITSHEET’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO UNITSHEET FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
The limitations above apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations of liability; in those cases, our liability is limited to the fullest extent permitted by law.
8. Indemnification
You agree to indemnify, defend, and hold harmless UnitSheet and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to Your Content, your use of the Services, or your violation of these Terms or applicable law.
9. Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated by reference into these Terms.
10. Termination
You may stop using the Services at any time. We may suspend or terminate your access immediately if you violate these Terms, if required by law, or if we discontinue the Services. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and indemnification) will survive termination.
11. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms on this page and revise the “Last updated” date. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms, to the extent permitted by law. If you do not agree to the updated Terms, stop using the Services.
12. Governing Law
These Terms are governed by the laws of the United States and the State of Pennsylvania, without regard to conflict-of-law principles, except where mandatory local law provides otherwise. Courts located in that jurisdiction will have exclusive venue for disputes arising out of these Terms, subject to applicable consumer-protection laws.
13. Miscellaneous
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and UnitSheet regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Headings are for convenience only.
